Terms of Use

1. Acceptance of Terms

By accessing or using MicroLineup operated by Sidewave Digital Inc. (“we”, “us”), you agree to these Terms of Use (“Terms”). If you disagree, please do not submit or access any user submissions.

2. User Submissions

“Submission” means any product listing, logo, text, image, link, or media you provide via our Tally.so form.

• You warrant that you own or have lawful rights to all content you submit.
• You grant us a perpetual, non-exclusive, worldwide, royalty-free license to display, distribute, and modify your Submission as part of the MicroLineup directory (you'll retain ownership). No compensation is provided.
• You authorize use of your name, logo, and linked material in connection with the directory and related promotions.
• We reserve the right (in our sole discretion) to approve, edit, remove, or refuse any Submission, at any time and without notice.

3. Prohibited Content

You agree not to submit:

• Illegal, infringing, defamatory, pornographic, hateful, threatening, or harmful content;
• Spam, phishing, or deceptive material or links;
• Content violating the rights of third parties (privacy, publicity, copyright, trademark).

Submissions violating these Terms may be removed without warning. We disclaim all liability for user-provided content.

4. Disclaimer & Limitation of Liability

The directory is provided “as-is” and “as-available”. We disclaim all warranties—express, implied, statutory—about content, accuracy, or suitability.

To the maximum extent permitted by law, MicroLineup and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the directory or any user content.

5. Indemnification

You agree to indemnify, defend, and hold harmless MicroLineup and its affiliates, officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses (including legal fees) arising from:

• Your breach of these Terms;
• Your Submission violating any rights or laws.

We retain the right to assume control of any defense at our own expense.

6. Use of Tally.so

All Submissions are collected through Tally.so. By submitting, you agree that your Submission may be stored by Tally.so and used as described here. See their Privacy Policy.

7. Termination

We may suspend or terminate access to the directory or delete Submissions for conduct violating these Terms or law, or at our discretion.

8. Changes to Terms

We may modify these Terms at any time. We will post updates with a revised “Last Updated” date. Continued use after changes means you accept them.

9. Governing Law

These Terms are governed by the laws of Ontario, Canada. Any disputes will be resolved in that legal system.
